Account Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

Account Deletion

You may delete your account at any time by contacting us. Upon deletion, your personal information will be removed in accordance with our Privacy Policy, though some information may be retained as required by law or for legitimate business purposes.

Black Owned Business provides a platform for Black entrepreneurs to list their businesses and connect with potential customers. By listing your business, you agree to the following terms:

Eligibility

To list a business on our platform, you must:

• Be at least 18 years of age
• Own or have authority to represent the business
• Confirm that the business is Black-owned (at least 51% ownership by Black individuals)
• Provide accurate and truthful information about the business
• Have all necessary licenses, permits, and insurance required to operate legally

Prohibited Businesses

We do not allow listings for businesses that:

• Engage in illegal activities
• Sell counterfeit or stolen goods
• Promote hate speech, discrimination, or violence
• Are involved in adult entertainment or services
• Sell tobacco, alcohol, or cannabis products (unless properly licensed)
• Engage in deceptive or fraudulent practices
• Infringe on intellectual property rights

Content Guidelines

All business listings must include:

• Accurate business name and contact information
• Truthful description of products or services
• Appropriate images that accurately represent the business
• Correct categorization

Review and Approval

We reserve the right to review, approve, or reject any business listing at our sole discretion. We may remove or suspend listings that violate these Terms or that we determine are inappropriate for our platform.

Accuracy and Updates

You are responsible for keeping your business information accurate and up-to-date. You must promptly update your listing if any information changes, including contact details, hours of operation, or services offered.

You agree to use our platform only for lawful purposes and in accordance with these Terms. You agree not to use our platform:

Prohibited Activities

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation
• To impersonate or attempt to impersonate Black Owned Business, a Black Owned Business employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the platform, or which, as determined by us, may harm Black Owned Business or users of the platform
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the platform
• To use any robot, spider, or other automatic device, process, or means to access the platform for any purpose
• To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• To attack the platform via a denial-of-service attack or a distributed denial-of-service attack

Review Guidelines

When leaving reviews for businesses, you agree to:

• Provide honest and accurate feedback based on actual experience
• Not post fake, misleading, or defamatory reviews
• Not post reviews on behalf of competitors
• Not use offensive language, hate speech, or personal attacks
• Not include personal information about business owners or employees
• Not offer incentives for positive reviews or accept payment for reviews

Intellectual Property

You retain ownership of any content you submit to the platform. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content in connection with providing and promoting our services.

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Black Owned Business LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our Trademarks

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Black Owned Business LLC. This includes but is not limited to our logo, name, and any other branding elements.

Billing

Payment Processing

Subscription Renewals

Business Verification

While we strive to verify the legitimacy of businesses listed on our platform, we cannot guarantee the accuracy of all information provided by business owners. Users are encouraged to conduct their own due diligence before engaging with any business.

Third-Party Links

Our Service may contain links to third-party websites or services that are not owned or controlled by Black Owned Business LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

In no event shall Black Owned Business LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any transaction or interaction between you and any business listed on our platform
• Any damages or losses resulting from products or services purchased from businesses listed on our platform

Maximum Liability

Notwithstanding any damages that you might incur, the entire liability of Black Owned Business LLC and any of its suppliers under any provision of this Terms and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you through the Service or $100 if you haven't made any purchases through the Service.

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Black Owned Business LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the Service, by you or any person using your account and password
• A breach of these Terms
• Content you submit, post, transmit, or make available through the Service
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right

This defense and indemnification obligation will survive these Terms and your use of the Service.

These Terms shall be governed and construed in accordance with the laws of the United States and the State of [Your State], without regard to its conflict of law provisions.

Informal Resolution

Before filing a claim against Black Owned Business, you agree to try to resolve the dispute informally by contacting us at info@blackownedbusiness.store. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Black Owned Business may bring a formal proceeding.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, termination, or validity thereof, shall be determined by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court or seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

We may assign or delegate these Terms and/or our Privacy Policy, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under the Terms or Privacy Policy without our prior written consent, and any unauthorized assignment and delegation by you is void.
